These Terms govern your access to and use of our website, platform, and services (collectively, the "Services"), which primarily facilitate the purchase of airline credits by travel agencies for onward use.
By accessing, browsing, or using any part of our Services, you, as a travel agency or an authorised representative thereof (referred to as "the User," "you," or "your"), acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.

1. Acceptance of Terms
   • Your use of our Services constitutes your unconditional acceptance of these Terms. These Terms form a legally binding agreement between you and The Company.
   • These Terms apply to all Users of the Services, including browsers, vendors, customers, merchants, and contributors of content.
   • The Company may update, change, or replace any part of these Terms by posting updates on our website. Your continued use constitutes acceptance of these changes.
2. Nature of Services
   • The Company provides a B2B platform enabling registered travel agencies to purchase Airline Credits for resale or ticket issuance.
   • The Company acts solely as an intermediary; we do not operate airlines or issue tickets directly.
   • Airline tickets issued using these credits are subject to the airline’s terms, including conditions of carriage, baggage, fares, and regulations.
3. User Account and Registration
   • You must register and provide accurate, complete, and current information to access our Services.
   • You warrant that you are a legitimate travel agency or authorized representative, and information provided is true and accurate.
   • You are responsible for account confidentiality and all activities under your account. Notify The Company immediately of any unauthorized use.
   • The Company may suspend or terminate accounts for inaccurate, incomplete, or suspicious information.
4. Purchase and Usage of Airline Credits
   • Pricing and availability of Airline Credits are dynamic and subject to change. The Company may modify, suspend, or discontinue sales at any time.
   • All purchases must be made through accepted payment methods. Payments are subject to processing terms and applicable taxes.
   • Credits may have validity periods or usage restrictions. Unused or expired credits may not be refundable or exchangeable.
   • You are responsible for lawful issuance of tickets using purchased credits, following airline terms and applicable laws.
   • Airline Credits are generally non-refundable and non-exchangeable unless stated otherwise by The Company or issuing airline.
   • Use of credits is subject to individual airline terms. The Company is not liable for airline-related issues.
5. Intellectual Property Rights
   • All content, trademarks, logos, and IP on the Services belong to The Company or licensors. Usage without consent is prohibited.
   • You may not reproduce, distribute, modify, publicly display, republish, download, store, or transmit material except for permitted use of the Services.
6. Disclaimers
   • Services and content (including Airline Credits) are provided "as is" without warranties, express or implied, including merchantability or fitness for a purpose.
   • The Company does not guarantee uninterrupted, secure, or error-free Services or accurate Airline Credit information.
   • The Company is not responsible for acts or omissions of airlines or third-party providers. Flight issues must be resolved with the airline.
7. Limitation of Liability
   • The Company and affiliates are not liable for indirect, incidental, special, or consequential damages, including loss of profits or data.
   • Total liability to you is limited to the amount paid for the specific Airline Credits giving rise to the claim in the last six months.
8. Indemnification

   You agree to indemnify, defend, and hold harmless The Company, its affiliates, officers, and agents from any claims, damages, or expenses arising from your use of the Services, violation of Terms, breach of airline rules, or unlawful acts.

9. Governing Law and Jurisdiction

   These Terms are governed by the laws of India. Courts in Delhi have exclusive jurisdiction.

10. Dispute Resolution
    • Disputes should first be attempted to resolve amicably through negotiations.
    • If unresolved within 30 days, disputes will be referred to arbitration under the Arbitration and Conciliation Act, 1996.
    • The arbitration will have a sole arbitrator, mutually appointed or as per Act provisions.
    • Seat and venue: Delhi, India. Language: English. Legal proceedings shall be in Delhi courts.
11. Amendments to Terms

    The Company may modify these Terms at any time. The "Last Updated" date will be indicated. Continued use constitutes acceptance of changes.

12. Severability

    If any provision is invalid or unenforceable, the remaining provisions remain in full force and effect.

13. Entire Agreement

    These Terms constitute the entire agreement between you and The Company regarding Services, superseding prior understandings or agreements.
